By accessing or using Fora ("we," "us," or "our"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not use our Service. These Terms constitute a legally binding agreement between you and Fora.

2. Eligibility

You must be at least 18 years old to use Fora. By creating an account or using the platform, you represent and warrant that:

• You are 18 years of age or older
• You have the legal capacity to enter into these Terms
• You are not prohibited from using the Service under applicable law

Fora does not knowingly permit individuals under 18 to use the platform. If we become aware that a user is under 18, we will suspend or terminate the account and delete associated data as required by law. We reserve the right to request age verification at any time.

Fora is a structured digital debate platform that enables users to engage in timed, moderated debates on various topics. Our Service includes:

• Structured debate formats with timed rounds
• AI-powered opponents and real player matchmaking
• Rating and scoring systems
• Tournaments and competitions
• Leaderboards and rankings

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

4. Account Registration

To use certain features of Fora, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your account information to keep it accurate
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You may use a pseudonym publicly, but we may verify your identity behind the scenes to prevent abuse, trolling, and ensure platform safety. You are responsible for maintaining the confidentiality of your account information.

5. Acceptable Use Policy

You agree not to use Fora to:

• Violate any applicable local, state, national, or international law
• Harass, threaten, intimidate, or harm other users
• Engage in doxxing (publishing private or identifying information about others)
• Post hate speech, discriminatory content, or content that promotes violence
• Encourage or promote self-harm, suicide, or eating disorders
• Share content that is defamatory, libelous, or invades another's privacy
• Impersonate any person or entity or falsely state your affiliation
• Interfere with or disrupt the Service or servers connected to the Service
• Use automated systems (bots, scrapers) to access the Service without permission
• Attempt to gain unauthorized access to any portion of the Service
• Transmit viruses, malware, or other harmful code
• Engage in any activity that could damage, disable, or impair the Service

Violation of this Acceptable Use Policy may result in immediate termination of your account and may subject you to legal action.

Fora strictly prohibits content that encourages, glorifies, or provides instructions for self-harm, suicide, or eating disorders. We will immediately remove such content and may report it to appropriate authorities. If we believe you or someone else is in immediate danger, we may contact emergency services.

7. User-Generated Content

All debate content, arguments, and posts on Fora are user-generated. You retain ownership of the content you post, but by posting content, you grant Fora a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display your content solely for the purpose of operating and providing the Service.

We are not liable for user posts. Fora acts as a platform for user-generated content and does not endorse, verify, or assume responsibility for the accuracy, completeness, or truthfulness of user-generated content. You understand that you may be exposed to content that is offensive, indecent, or objectionable. We reserve the right to remove any content at our discretion, with or without notice.

You represent and warrant that any content you post:

• Does not infringe on any third party's intellectual property rights
• Does not violate any applicable law or regulation
• Complies with our Acceptable Use Policy
• Is not defamatory, libelous, or invasive of privacy

8. Content Moderation

Fora reserves the right, but not the obligation, to monitor, review, and moderate all content posted on the platform. We may remove, edit, or refuse to post any content that, in our sole discretion, violates these Terms, our Acceptable Use Policy, or is otherwise objectionable. Our moderation decisions are final and not subject to appeal.

We may use automated systems, human moderators, or a combination of both to review content. We are not obligated to review all content and are not liable for any content that appears on the platform.

9. Tournaments & Competitions

Fora may host tournaments and competitions with specific rules and prizes. Participation in tournaments is subject to:

• Additional tournament-specific rules and terms
• Eligibility requirements (which may include age, location, or skill level restrictions)
• Compliance with all applicable laws and regulations
• Our right to disqualify participants for rule violations or misconduct

Tournament rules, prizes, and eligibility criteria will be clearly disclosed before registration. We reserve the right to modify, cancel, or reschedule tournaments at any time.

10. Monetization & Payments

Fora may offer subscription services, tournament entry fees, and other paid features. By purchasing any paid service, you agree to:

• Pay all fees associated with your purchase
• Provide accurate payment information
• Authorize us to charge your payment method

All fees are non-refundable unless required by law or explicitly stated otherwise. We reserve the right to change our pricing at any time, but price changes will not affect active subscriptions until renewal.

Future Data Use: In the future, we may monetize aggregated and de-identified user data and insights. We will NOT sell personally identifiable information. Any such use will comply with our Privacy Policy and applicable laws.

11. Intellectual Property

The Service, including its design, features, functionality, and content (excluding user-generated content), is owned by Fora and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

The Fora name, logo, and related marks are trademarks of Fora. You may not use our trademarks without our prior written permission.

12. DMCA Policy

Fora respects intellectual property rights and will respond to valid notices of alleged copyright infringement in accordance with the Digital Millennium Copyright Act ("DMCA").

If you believe that content on Fora infringes your copyright, please send a DMCA takedown notice to our designated agent at naseem@fora.llc. Your notice must include:

• Identification of the copyrighted work claimed to have been infringed
• Identification of the allegedly infringing material and its location on Fora
• Your contact information
• A statement of good faith belief that the use is not authorized
• A statement that the information in the notice is accurate and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner
• Your physical or electronic signature

13. Account Termination

You may terminate your account at any time by contacting us or using account deletion features in your settings. We reserve the right to suspend or terminate your account immediately, with or without notice, if you:

• Violate these Terms or our Acceptable Use Policy
• Engage in fraudulent, abusive, or illegal activity
• Fail to pay required fees
• Use the Service in a manner that could harm us or other users

Upon termination, your right to use the Service will immediately cease. We may delete your account and associated data, subject to our Privacy Policy and applicable law. Provisions of these Terms that by their nature should survive termination will survive.

14. Disclaimers

No Professional Advice: Content on Fora, including debate arguments and AI-generated responses, is for informational and entertainment purposes only. Nothing on Fora constitutes legal, medical, financial, or other professional advice. You should not rely on information from Fora as a substitute for professional advice.

Assumption of Risk: You acknowledge that debate topics may be polarizing and that you may encounter content you find offensive or disagreeable. You use Fora at your own risk and assume full responsibility for your participation in debates and interactions with other users.

Service "As Is": The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

15. Limitation of Liability

To the maximum extent permitted by law, Fora and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use the Service
• Any conduct or content of third parties on the Service
• Unauthorized access to or alteration of your transmissions or data
• Statements or conduct of any user on the Service
• Any other matter relating to the Service

Our total liability to you for all claims arising out of or relating to the use of the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or $100, whichever is greater.

16. Indemnification

You agree to indemnify, defend, and hold harmless Fora and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Any content you post or transmit through the Service

17. Dispute Resolution

Binding Arbitration: Except for disputes that qualify for small claims court, you and Fora agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service through binding arbitration administered by the American Arbitration Association ("AAA") or JAMS, in accordance with their respective rules.

Class Action Waiver: You and Fora agree that disputes will be resolved on an individual basis and waive any right to participate in a class action, class-wide arbitration, or representative proceeding.

Small Claims Exception: Either party may bring a claim in small claims court if it qualifies, and such claims are not subject to arbitration.

Opt-Out Right: You have the right to opt out of this arbitration agreement by sending written notice to naseem@fora.llc within 30 days of first accepting these Terms. Your opt-out notice must include your name, email address, and a clear statement that you wish to opt out of arbitration.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions. Except as provided in the Dispute Resolution section, any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in New York County, New York.

19. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.
